Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") form a legally binding agreement between Trade Engine Limited ("Trade Engine", "we", "us", or "our") and the business or individual ("Client", "you") that subscribes to the Trade Engine call answering service.

By signing the Client Agreement electronically or by activating the Service, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not activate or use the Service.

Trade Engine Limited is a company incorporated in New Zealand (Company No. 9434759, NZBN 9429053723260), trading from 4 Rendall Place, Eden Terrace, Auckland 1021.


2. The Service

Trade Engine provides an AI-powered call answering service for New Zealand trade businesses. The Service includes, depending on your plan:

The specific features available to you depend on the plan you have subscribed to, as set out at trade-engine.co.nz/pricing or in your Client Agreement.


3. Setup and Onboarding

Once you have signed the Client Agreement, Trade Engine will configure your call handling system based on information you provide, including your business name, services offered, service area, and any frequently asked questions you wish the system to answer.

You are responsible for ensuring that call forwarding is correctly configured with your telecommunications provider (e.g. Spark, Vodafone, or 2degrees) so that calls route to Trade Engine. We will provide you with step-by-step instructions to assist with this.

We target a go-live time of 48 hours from the completion of your onboarding information. This timeframe is a target and not a guarantee.


4. Pricing and Billing

4.1 Plan Fees

The Service is billed monthly in advance, in New Zealand dollars, plus GST (where applicable). Current pricing is:

Prices may change. We will give you at least 30 days written notice of any price increase, which will take effect at your next billing date after the notice period.

4.2 Payment

Payment is collected automatically via our payment provider at the start of each billing period. You authorise Trade Engine to charge your nominated payment method on a recurring monthly basis.

If a payment fails, we will notify you and attempt to collect payment again. If payment remains outstanding after 10 days, we reserve the right to suspend the Service until payment is received.

4.3 No Refunds for Partial Months

If you cancel the Service part-way through a billing period, you will not be charged for the following period. However, fees already paid for the current period are non-refundable. You retain access to the Service until the end of the current billing period.


5. Cancellation

You may cancel the Service at any time by providing 30 days written notice to scott@trade-engine.co.nz or as otherwise specified in your Client Agreement.

Cancellation takes effect at the end of the 30-day notice period, or at the end of your current billing period — whichever is later. You will not be charged for any billing period that begins after your cancellation takes effect.

Trade Engine may suspend or terminate the Service immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that we reasonably consider harmful or unlawful.


6. Your Responsibilities

As a Client, you agree to:

You are responsible for your own compliance with applicable laws in how you use call data, including any obligations to callers about how their information is used.


7. Call Recordings and Data

Trade Engine records all calls answered on your behalf. Callers are informed of this through the call greeting. You are responsible for ensuring that your use of recordings and call data is lawful.

Call recordings, transcripts, and summaries are retained for 12 months from the date of the call and are then permanently deleted. You should download any recordings you wish to retain before the expiry of this period.

Trade Engine processes personal information in accordance with our Privacy Policy. By using the Service, you acknowledge that caller data will be processed and stored on infrastructure hosted in the United States (AWS us-west-2, Oregon).


8. Intellectual Property

All software, systems, call scripts, and AI models used to deliver the Service remain the intellectual property of Trade Engine or its licensors. Nothing in these Terms grants you any ownership interest in the Service.

You retain ownership of your business information (e.g. your services, pricing, FAQs) that you provide to configure the Service. You grant Trade Engine a licence to use this information solely for the purpose of delivering the Service to you.


9. Limitation of Liability

To the maximum extent permitted by law:

Nothing in these Terms limits liability that cannot be excluded under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986, where those Acts apply.


10. No Warranty

The Service is provided on an "as is" basis. We do not warrant that the Service will be uninterrupted, error-free, or that the AI will handle every call perfectly. AI call handling is inherently probabilistic and may occasionally misunderstand caller intent or fail to capture information accurately.

We will work promptly to address any issues you raise, but we cannot guarantee perfect performance in every call scenario.


11. Changes to the Service and Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before any material change takes effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

We may also update or modify the Service itself (including features, integrations, and pricing structure) with reasonable notice to you.


12. Governing Law

These Terms are governed by the laws of New Zealand. Any dispute arising from or relating to these Terms will be subject to the exclusive jurisdiction of the New Zealand courts.
